OVERVIEW
This platform is operated by Wasteless Bio Ltd. Throughout the site, the terms “we,” “us,” and “our” refer to Wasteless Bio. Wasteless Bio offers this platform, including all information, tools, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.
By engaging with our platform as a seller or a buyer of life science products or instruments (“Products”), you agree to these Terms of Service. This document outlines your responsibilities and the rules governing our platform.
Please read these Terms of Service carefully before you list products or submit your order to us.
1. LISTING AND SELLING PRODUCTS
1.1 Product Listings
Sellers may list their products for sale on the platform. All listings must be accurate and updated when inventory changes. Products can include short expiry, expired, or surplus life science items, and the seller guarantees proper storage before shipping.
1.2 Minimum Order Quantities
Sellers may establish minimum order quantities to optimize shipping costs.
1.3 Sellers' anonymity
Sellers’ identities (e.g., company names, logos, or other identifiable info) shall not be displayed publicly on the platform. Some generic information from the seller may be indicated with the products, e.g. country. Sellers' identity will be disclosed to the buyer at the time, to the extent and in the documents required by applicable law. We may edit or remove listings that compromise seller anonymity to maintain platform standards.
1.4 Commission
Wasteless Bio charges a flat commission on the gross transaction value, excluding shipping. Payments will be processed and disbursed within 45 business days after the sale, unless the buyer has submitted a refund request within the period specified in 3.1, in which case payment shall be made after it is established that the buyer’s request is unfounded. The commission is 20% on the products sold.
2. TRANSACTION AND SHIPPING
2.1 Shipping and Incoterms
Unless otherwise agreed in writing between the buyer and seller, all transactions on the Wasteless Bio platform are conducted under the FCA (Free Carrier) Incoterm. The seller is responsible for preparing the goods and delivering them to the agreed carrier at the designated pickup location, including handling export customs clearance. Risk transfers from the seller to the buyer once the carrier collects the goods from the seller. The buyer is responsible for: all transportation costs after collection, all risks associated with transportation after collection, import customs clearance, duties, taxes, and any related local charges.
Where Wasteless Bio facilitates the booking or generation of shipping labels, it does so solely as an agent acting on behalf of the buyer. This facilitation does not alter the FCA Incoterm or the allocation of costs and risks described above.
Where packaging or preparation of the goods is performed by the carrier or a third party (including courier packaging services), this does not affect the transfer of risk, which occurs at the moment the carrier collects the goods in accordance with FCA.
2.2 Shipping Costs
Under the FCA (Free Carrier) Incoterm, the buyer is responsible for all shipping costs from the moment the goods are collected by the carrier unless otherwise agreed with the seller. The seller is responsible solely for costs up to the point of delivery to the carrier, including export customs clearance. If the seller pays the courier directly at the time of booking, the buyer remains financially responsible for the main transport charges, and such amounts may be reimbursed to the seller through the platform. This arrangement does not change the FCA allocation of responsibility.
2.3 Shipping and Transportation Support
Wasteless Bio does not assume liability for any damages, delays, loss, or additional costs related to transportation or carrier performance. Damage in transit must be reported within 48 hours of delivery, together with photographs of both the packaging and contents. Claims relating to loss, delay, or damage in transit must be submitted to the carrier by the party who contracted the shipment. Wasteless Bio may assist the parties in communicating with the carrier, but such assistance is provided as a courtesy and does not imply responsibility or liability for the shipment.
2.4 Customs
Where Wasteless Bio facilitates international deliveries or returns, Wasteless Bio is not responsible for any fees, duties, taxes, or charges imposed by customs authorities. If products are detained by customs pending additional information or documents required from the buyer, the buyer is responsible for providing such information and paying any related storage or administrative fees. The buyer remains exclusively responsible for import clearance and any associated compliance obligations under the FCA Incoterm.
3. REFUNDS AND DISPUTES
3.1 Material Defects
Refunds are accepted solely for Material Defects, defined as: (a) failure to perform the core functions expressly stated in the listing; (b) mismatch of model/SKU/specification (including size/format/volume for consumables); (c) missing essential components expressly stated as included; or (d) quantity shortfall for consumables and reagents.
3.2 Exclusions
No refunds will be granted for cosmetic variances (including scratches, scuffs, label residue, colour/finish differences, or packaging condition) that do not affect functionality or fitness for purpose; buyer remorse; incompatibility where the item matches the listed specifications; or any other case where there is no Material Defects.
3.3 Conditions for Refunds
If the buyer can prove Material Defect, they have a right to a refund. Refund can be approved partially or in full. The buyer is obliged to send the notification and evidence of Material Defect to our official e-mail address (contact@wasteless.bio) within 21 days from the date of receipt of the shipment. All parties must provide all evidence needed to resolve the dispute. Where a refund is due under these terms, we will return the amount (partial or full) paid by the buyer for the products, by the method used for payment. In case of Material Defects, the seller is not entitled to (partial or full) payment under Art. 1.4.
3.4 Return Shipping
If a refund is issued for Material Defects, and the seller requests a return, the seller will bear the return shipping costs.
3.5 Final Decision
If disputes cannot be resolved within 40 days, Wasteless Bio will make a final, binding decision.
4. PRODUCT CONDITION AND LIABILITY
4.1 Buyer’s Risk
The buyer acknowledges and accepts that the listed products are primarily second-hand and used items, which may be expired, near expiry, or previously purchased. On rare occasions, products may be new (ex. obsolete stock). We will, where we are able, note in the product description on our website the estimated condition of the product, however please note that this estimation is made without having had the product tested. While we endeavour to ensure accuracy, description information may contain errors, omissions, or inaccuracies. You will be responsible for getting the product tested to ensure that the product is fit for purpose. We make no representations and give no warranties as to the quality, condition, state or description of the product or their fitness or suitability for any purpose. Please ensure that you have read the product description in full prior to purchasing a product as the description may contain details of the product’s condition. Buyer assumes all risks associated with the purchase and use of these products.
4.2 Product Condition
Sellers guarantee that all products have been stored correctly, as per the manufacturer's recommendations, up until the point of sale.
5. GENERAL CONDITIONS
We reserve the right to refuse service to anyone at any time. You agree not to exploit the platform for unauthorized purposes or violate any laws in your jurisdiction. Any breach of these terms will result in immediate termination of services.
6. CONFIDENTIALITY
6.1 Definition of Confidential Information
Confidential Information refers to any proprietary or non-public information shared between parties during the course of business.
6.2 Obligations
Both parties agree to keep Confidential Information secure and only use it for fulfilling obligations under this agreement. To protect privacy, buyers and sellers agree not to disclose each other’s identities outside the platform, unless required by law.
7. TERMINATION
7.1 Termination by Marketplace
Wasteless Bio reserves the right to terminate this agreement if sellers breach any terms or list inappropriate products.
7.2 Termination by Seller
Sellers may terminate their agreement with the marketplace by providing notice in writing, but they must fulfil any outstanding orders.
8. GOVERNING LAW
This agreement shall be governed by and construed in accordance with the laws of England and Wales.

10. CHANGES TO TERMS OF SERVICE
10.1 Changes
Wasteless Bio reserves the right to update, modify, or replace any part of these Terms of Service and Seller Agreement at any time. Any changes will be posted on this page, and it is the seller’s responsibility to review the Terms periodically. Your continued use of the platform following the posting of changes constitutes acceptance of those changes.
10.2 Email Notifications Option
In case of significant updates to the Terms, Wasteless Bio will notify registered sellers via email. However, it is the seller’s responsibility to ensure their contact information is up to date. Failure to receive email notifications does not waive any obligations or rights under the updated terms.
